When Your Company Is
Under Attack, Your Defense
Must Understand the Model.

Donna Marie Serritella | Direct Selling Forensics

I help defense attorneys, founders, and executive teams turn compensation plans, field behavior, compliance systems, and marketing evidence into a clear, credible, fact-based defense.

Received an FTC CID, subpoena, demand letter, or complaint? Preserve records, involve qualified legal counsel, and assess the full evidence before the story hardens around incomplete facts.

When the Stakes Are High

The First Job Is to
Understand What Is Actually Happening.

Direct-selling cases often begin with a simple label and a complex record. The business model, the compensation plan, the customer data, corporate policies, field conduct, and individual statements must be separated and tested before anyone can see the full picture.

Regulatory Pressure

FTC or State Attorney General Inquiry

Translate the model, organize the evidence, identify the real risk points, and help counsel respond without letting assumptions replace facts.

Litigation

Class Action or Pyramid-Scheme Allegation

Examine how compensation is earned, what retail activity exists, what participants were told, and whether the allegations match the actual operation.

Field Conduct

Income, Product, or Distributor Claims

Distinguish corporate messaging from independent conduct, test training and enforcement records, and identify where policy and practice truly diverged.

The Operational Expert Beside Legal Counsel

I Know the Model
From the Inside,
Not From a Textbook.

I am not a law firm, and I do not replace legal counsel. I work beside attorneys as a defense-side subject matter expert, litigation consultant, and industry translator for matters involving MLM, direct selling, affiliate, and referral-driven businesses.

For more than 30 years, I have worked with field leaders, distributors, compliance teams, and C-suite executives. I have built training, reviewed practices, addressed risky behavior, and seen how a written policy can succeed or fail once it reaches the field.

“A compensation plan is a machine. My job is to show counsel how every gear works, what the evidence proves, and where an allegation does or does not fit the facts.”

That inside view matters because direct-selling cases are rarely understood through one screenshot, one distributor, or one line in a compensation plan. A credible defense requires the full operating picture.

Before my direct-selling career, I served as CEO of a multi-site surgical practice and as Administrator of Health Services for the American Red Cross. I understand complex systems, executive decisions, training, documentation, accountability, and what happens when communication breaks down.

Why Defense Teams Retain Me

A Strong Defense Needs
More Than a Legal Theory

Counsel knows the law. I help the team understand the operating system beneath the case, then connect that system to the evidence in plain language.

01
I Translate Complex Compensation Mechanics

Ranks, legs, volume, customer sales, bonuses, qualifications, compression, and overrides can overwhelm a court or jury. I turn the plan into a clear story without distorting how it actually works.

02
I Separate Company Conduct From Individual Conduct

A field leader's statement is not automatically the company's statement. I review training, monitoring, discipline, communications, and enforcement records to show what the organization knew, taught, allowed, corrected, or could reasonably control.

03
I Test the Allegation Against the Whole Record

I do not whitewash weak facts. I help teams identify what is defensible, what needs context, what requires correction, and where the evidence does not support the claim being made.

Credibility is the defense. The goal is not to make every fact look perfect. The goal is to make sure the decision-maker sees the complete, accurate, and understandable record.
How I Support the Defense

Expert Consulting,
Analysis & Testimony

⚖ For Defense Counsel

Early Case Assessment
Focused review of the complaint, compensation plan, policies, marketing, field materials, and key data to identify the strongest defense themes and the areas requiring deeper work.
Compensation Plan Translation
Clear explanation of how participants qualify, earn, advance, retain rank, sell to customers, and build organizations, including where opposing descriptions oversimplify the mechanics.
Evidence & Discovery Support
Issue mapping, document review, terminology support, deposition preparation, and identification of records that can confirm or challenge the theory of the case.
Policy vs. Practice Analysis
Assessment of what the company taught, monitored, enforced, and corrected compared with the specific conduct alleged in the complaint or investigation.
Expert Reports & Declarations
Written opinions on direct-selling operations, field behavior, compensation structures, industry practices, and the relationship between company systems and alleged conduct.
Deposition & Trial Testimony
Calm, understandable testimony that helps judges, juries, mediators, and regulators follow the model without getting lost in industry language.

🏢 For Founders & Executive Teams

Rapid Response Support
Work with company counsel to organize the operating record, identify urgent exposure, and prepare leadership for the questions likely to come next.
Income & Lifestyle Claim Review
Review explicit and implied earnings messages across presentations, social media, events, rank recognition, coaching, testimonials, and distributor-created content.
Product Claim Assessment
Identify how product claims move from corporate language into field language, where risk appears, and what training or correction may be needed.
Field Behavior Analysis
Evaluate how distributors are recruited, trained, recognized, supervised, corrected, and removed, with special focus on the facts surrounding the matter at hand.
Compliance System Review
Test whether policies, monitoring, escalation, discipline, communications, and documentation operate as a real system rather than a binder on a shelf.
Remediation & Defense Readiness
Help leadership improve weak controls, document corrective action, and build a clearer record for future regulatory, litigation, or due-diligence review.
Where My Experience Applies

Defense Matters &
Risk Areas

My role is especially useful when the matter turns on how a direct-selling organization actually operates, not simply what the opposing side calls it.

FTC civil investigative demands and enforcement matters
State attorney general investigations
Class actions and consumer-protection claims
Pyramid-scheme and recruitment-driven allegations
Compensation plan and retail-sales analysis
Income, earnings, and lifestyle claims
Health, wellness, and product representations
Distributor misconduct and company-control issues
Affiliate, referral, influencer, and hybrid models
A Practical Starting Point

The Defense Readiness
Framework

Every matter is different, but strong defense work usually follows the same sequence: preserve the record, understand the system, test the claims, and explain the facts clearly.

Step 01

Preserve the Record

Coordinate through counsel to protect documents, data, messages, training, policies, disciplinary records, and relevant field content.

Step 02

Map the Operating System

Document how compensation, retail sales, recruiting, training, compliance, monitoring, and field leadership actually work together.

Step 03

Test Every Allegation

Separate labels from evidence, company conduct from individual conduct, and isolated incidents from repeatable system-wide patterns.

Step 04

Build the Clear Narrative

Give counsel a plain-language explanation supported by documents, data, operations, and industry context that a decision-maker can follow.

I am not aware of anyone in this country who combines her depth of operational experience, her regulatory knowledge, and her ability to communicate complex concepts with the clarity that courts and enforcement agencies require.
